Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Papership Media client portal (the "Service") operated by Rafael Ogel & Justin Rüdiger GbR ("Papership Media", "we", "us", or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

• "Service" refers to the Papership Media client portal, including all features, functionality, and integrations.
• "User" or "you" refers to any individual or entity accessing or using the Service.
• "Organization" refers to a business entity or group that uses the Service through invited members.
• "Member" refers to an individual user who has been invited to and joined an Organization.
• "Instagram Integration" refers to features that connect the Service with Instagram through Meta's APIs.

3.1 Core Services

The Service provides a client portal for managing media projects, including:

• Organization and team management
• Instagram account integration and management
• Instagram media content display and management
• Instagram direct message automation features
• Project collaboration tools
• Member and role-based access control

3.2 Instagram Integration

The Service integrates with Instagram through Meta's Instagram Graph API and Instagram Basic Display API to provide:

• Display of Instagram posts and media content
• Management of Instagram direct messages
• Automation of responses to Instagram direct messages based on trigger words
• Synchronization of Instagram account information
• Webhook event handling for real-time updates

3.3 Invite-Only Access

The Service is provided on an invite-only basis. Access is granted only to users who have been explicitly invited by an Organization owner or administrator. Invited users may be granted permission to invite additional users to their Organization.

4.1 Eligibility

To use the Service, you must:

• Be at least 18 years old
• Have been invited to access the Service by an authorized Organization member
• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations

4.2 User Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account password
• All activities that occur under your account
• Providing accurate information and updating it as necessary
• Obtaining necessary permissions to connect Instagram accounts (you must own or have authorization to manage the Instagram account)
• Ensuring your use of Instagram features complies with Instagram's terms and Meta's platform policies
• Complying with all applicable data protection laws, including GDPR

4.3 Acceptable Use

You must not:

• Use the Service for any unlawful purpose or in violation of any laws
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Upload malicious code, viruses, or harmful files
• Use automated systems (e.g., bots, scrapers) to access the Service without permission
• Violate Instagram's terms of service or Meta's platform policies
• Send automated messages through Instagram that violate Instagram's policies or applicable laws
• Share, sell, or transfer your account to another person

5.1 API Compliance

Your use of Instagram integration features must comply with:

• Meta's Instagram API Terms of Use
• Instagram Platform Policy
• Meta's Developer Privacy Policy
• All applicable privacy and data protection laws, including GDPR

5.2 Instagram Account Authorization

By connecting an Instagram account to the Service, you represent and warrant that:

• You own the Instagram account or have been granted authorization by the account owner
• You have the right to grant us access to the account's data
• The account complies with Instagram's terms of service
• You will not use the Service to violate any third-party rights

5.3 Instagram Content

You retain all rights to content created or posted to Instagram. By using the Service, you grant Papership Media a limited license to access and display your Instagram content within the Service for the purpose of providing the Service's features.

6.1 Account Creation

Accounts are created upon acceptance of an invitation. You must provide accurate information and set a secure password. You are responsible for maintaining the confidentiality of your credentials.

6.2 Account Termination

You may terminate your account at any time through your account settings. Upon termination:

• Your access to the Service will be immediately revoked
• All data associated with your account will be deleted in accordance with our Privacy Policy
• Instagram integrations associated with your account will be disconnected
• Any outstanding obligations remain in effect

6.3 Suspension or Termination by Us

We reserve the right to suspend or terminate your account if you:

• Violate these Terms
• Violate Instagram's terms or Meta's platform policies
• Engage in fraudulent or illegal activity
• Fail to pay any fees owed (if applicable in the future)

7.1 Service Ownership

The Service, including all software, designs, text, graphics, logos, and other content, is owned by Papership Media and is protected by copyright, trademark, and other intellectual property laws.

7.2 User Content

You retain ownership of content you create or upload to the Service. You grant us a non-exclusive, worldwide, royalty-free license to use, store, and display your content as necessary to provide the Service.

7.3 Instagram Content

Content posted to Instagram remains your property. The Service accesses and displays this content with your authorization. We do not claim ownership of your Instagram content.

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you consent to the data practices described in our Privacy Policy, available at /privacy.

As a German company, we fully comply with the General Data Protection Regulation (GDPR) and German data protection laws. You have certain rights regarding your personal data, as detailed in our Privacy Policy.

You acknowledge that Papership Media administrators may need to access your account data for purposes of customer support, security, and service delivery, as described in our Privacy Policy.

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, goodwill, or other intangible losses
• Damages resulting from your use or inability to use the Service
• Damages resulting from Instagram API changes or unavailability
• Unauthorized access to or use of your account

9.3 Maximum Liability

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim, or €100, whichever is greater.

You agree to indemnify, defend, and hold harmless Papership Media, its partners, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of Instagram's terms or Meta's platform policies
• Content you create, post, or transmit through the Service

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Mannheim, Germany.

Notwithstanding the foregoing, if you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence.

If you are a consumer and reside in the European Union, you have the right to submit a complaint to the Online Dispute Resolution platform established by the European Commission at ec.europa.eu/consumers/odr.

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Sending you an email notification
• Displaying a notice within the Service

Your continued use of the Service after such notification constitutes your acceptance of the modified Terms. If you do not agree to the modifications, you must stop using the Service and may terminate your account.

The "Last updated" date at the top of this page indicates when the Terms were last revised.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the invalid provision.
